Welcome to ARANCA- PPA Pulse! We provide an Interactive Tool to interpret M&A Purchase Price Allocation Data across various Industry Sectors.

Acceptance of These Terms

The following Terms of Use, along with Aranca’s Privacy Policy, govern your access to and use of the tool and all Site Content and constitute a binding legal agreement between you and Aranca. You certify that you have read and understand the Terms of Use. By accessing or using our tool, you agree to comply with and be bound by these Terms of Use. If you do not agree to these Terms of Use, you must cease all use of the tool. The tool is intended for use of individuals above 18 years of age. You are not permitted to and shall not provide us with personal information if you are under 18 years of age.

Modification

Aranca reserves the right, at its sole discretion, to modify, discontinue or terminate the tool or to modify these Terms of Service at any time and without prior notice. Your continued use of the site indicates your full acceptance of the Terms of Use Agreement in its then current form each time you use the site. If the modified Terms of Service are not acceptable to you, your only recourse is to cease using the tool.

Restrictions of Use

ARANCA PPA Pulse subscriptions are non-transferable and require prior written consent before being shared with any individual or organization.

You, your company, employees, and partners hereby agree to refrain from engaging in the following actions with regard to the ARANCA- PPA Pulse Website or any of its components:

• • Decompiling, reverse engineering, disassembling, modifying, distributing, or creating derivative works or enhancements.
• • Seeking unauthorized access to the PPA Pulse Website or its network.
• • Developing or generating a database of data using the PPA Pulse.
• • Attempting to disrupt the proper operation of the PPA Pulse Website, including actions that overload the system or introduce malicious software.
• • Generating derivative works or enhancements from the PPA Pulse Website.

Furthermore, as the subscriber, you agree not to sublicense, extract, copy, store, manipulate, package, or prepare derivative works, and the data obtained must not be utilized for commercial purposes.

Additionally, you acknowledge not working for, representing, or contracting with any direct competitor of PPA Pulse product offerings. Subscriber activity, including IP address locations, login activity, searches within premium portions of the website, views, and other relevant information, is closely monitored.

Copyright, Trademark, and Proprietary

Aranca reserves all intellectual property and proprietary rights in and to the PPA Pulse Website. You acknowledge and agree that Aranca is the exclusive and rightful owner of, and shall retain all worldwide right, title, and interest in and to, all registered and unregistered, and any future registered, names, trademarks, trade dress, service marks, domain names, logos, or any derivation thereof, and all associated goodwill, of PPA Pulse and its affiliates ("Licensed Marks"). Nothing within these Terms of Use shall serve to transfer to you any ownership or proprietary interest in the Licensed Marks.

The works of authorship contained in the ARANCA- PPA Pulse Website, including, but not limited to, all design, text, sound recordings, and images, are owned, unless otherwise expressly stated by PPA Pulse and may not be copied, reproduced, transmitted, displayed, performed, distributed, rented, sublicensed, uploaded, posted, framed, altered, stored for subsequent use, or otherwise used in whole or in part in any manner without Aranca’s prior written consent.

ARANCA is committed to upholding copyright protection standards. Any infringement of copyright the subscriber to PPA Pulse, whether involving the misappropriation of content-related materials, data analyzed by PPA Pulse and accessible to premium subscribers, or private company regulatory filings obtained by PPA Pulse, will result in legal action pursued by Aranca.

Privacy Policy

We care about data privacy and security. In consideration of your use of the PPA Pulse Website, you agree that PPA Pulse may collect generic tracking data related to your or your end users’ use of the PPA Pulse in accordance with the Aranca Website Privacy Policy found at Privacy & Cookies Policy for aranca | Aranca, which is incorporated herein by reference.

Notice of New Services and Charges

We may utilize the data we gather to inform you of significant updates to our website, as well as new services and exclusive promotions that we believe may be of interest to you. ARANCA vigorously protects its reputation and trademarks and ARANCA reserves the right to request removal of any link to our web site. The products and analysis provided by Aranca PPA Pulse are not meant to serve as a substitute for the thorough purchase price allocation analysis carried out by qualified professionals, nor are they intended for any purpose other than reference.

The materials available on the site are provided "as is" without any express or implied warranty of any kind, including warranties of merchantability, non-infringement of intellectual property, or fitness for any particular purpose. Aranca PPA Pulse, its agents, or officers shall not be liable for any damages whatsoever (including, without limitation, damages for loss of profits, business interruption, loss of information) arising from the use of or inability to use the materials, even if Aranca PPA Pulse has been advised of the possibility of such damages.

Each User of This System Assumes All Responsibility And Risk For The Use Of The Materials. Aranca And Its Officers, Directors, Employees, And Agents Will Not Be Liable To You Or Any Other Third Party For Any And All Claims, Liabilities, Damages, Losses Or Expenses, Including Attorneys’ Fees And Costs Arising Out Of Or In Any Way Connected With Your Access To Or Use Of The Aranca PPA Pulse.

Governing Law

This Agreement shall be treated as though it were executed and performed in USA, and shall be governed by and construed in accordance with the substantive law of USA, without regard to conflict of law provisions. Any legal action arising out of or related to these terms must be filed in the appropriate court within USA.
